1. About these terms

These Terms of Service (the Terms) apply when you access www.helixbiouk.com (the Website), use any information, calculator or other feature made available through the Website, or place an order with Helix Bio (Helix Bio, we, us or our).

Please read these Terms carefully before using the Website or placing an order. By placing an order, you confirm that you have read and agree to these Terms. If you do not agree to them, you must not place an order or use the Website.

These Terms should be read together with our Returns and Refund Policy, Privacy Policy, Cookie Policy and any other policies displayed on the Website. Nothing in these Terms limits or excludes any rights that cannot lawfully be limited or excluded, including your statutory rights as a consumer.

3. Eligibility to use the Website and purchase products

You must be at least 18 years old and legally capable of entering into a binding contract to place an order.

By ordering a product, you confirm that:

the information you provide is complete, accurate and current;
you are purchasing for a lawful purpose;
you understand the research-only status and restrictions applicable to our products;
you have the knowledge, facilities, procedures and authority reasonably necessary to receive, store, handle and use the products safely and lawfully; and
your purchase, possession and intended use of the products comply with all laws and regulations applicable to you.

You must not place an order on behalf of another person without their authority.

4. Research-use-only products

Products sold by Helix Bio are supplied strictly for legitimate laboratory, analytical or research purposes only. They are not medicines, medical devices, food products, cosmetics or consumer healthcare products unless a product page expressly and lawfully states otherwise.

Our research products are not for human or animal consumption or administration and must not be used for clinical, therapeutic, diagnostic, veterinary, household or food-related purposes. They must not be injected, ingested, inhaled, applied to the body or otherwise introduced into a human or animal.

You must not purchase or use our products:

for self-experimentation or personal treatment;
to diagnose, prevent, manage or treat any disease, injury or health condition;
as an ingredient in any food, drink, medicine, cosmetic or consumer product;
for any unlawful, unsafe or unauthorised purpose; or
in any way inconsistent with the product label, product information or these Terms.

Information on the Website is provided for general research and educational purposes only. It is not medical, pharmaceutical, veterinary or other professional advice and must not be relied upon as a substitute for advice from a suitably qualified professional.

We may refuse or cancel an order where we reasonably believe that a product may be used unlawfully, unsafely or contrary to these Terms. If we cancel an order after receiving cleared payment, we will refund the amount paid for the cancelled goods.

5. Product information and availability

We take reasonable care to ensure that product descriptions, strengths, quantities, prices, photographs and other information are accurate. Product photographs and packaging images are illustrative; minor differences in labels, packaging or appearance may occur without affecting the identity or specification of the product.

Certificates of Analysis and other testing information relate to the batch or sample identified in the relevant document. They do not guarantee a particular experimental outcome or that a product is suitable for any purpose not expressly stated by Helix Bio.

All products are subject to availability. We may withdraw a product or limit the quantity available to any customer at any time before accepting an order.

If we discover a material error in a product description, price or availability after an order is submitted, we will contact you. We may cancel the affected item and provide a refund, or ask whether you wish to continue on the corrected basis.

6. Placing an order and contract formation

When you submit an order through the Website, you are making an offer to purchase the selected products under these Terms. An automated order acknowledgement confirms that we have received your order; it does not mean that we have accepted it.

After an order is placed, we will send payment instructions to the email address supplied during checkout. Unless we agree otherwise in writing:

payment must be made by bank transfer within 48 hours;
the bank-transfer reference must contain only the order reference supplied by us; and
an unpaid order may be cancelled automatically after the 48-hour payment period.

Using an incorrect payment reference may delay the identification, processing or dispatch of your order.

A contract between you and Helix Bio is formed when we send confirmation that the order has been dispatched. We may decline or cancel an order before dispatch because of unavailable stock, an obvious pricing or description error, unsuccessful or unidentified payment, suspected fraud, legal or regulatory concerns, delivery restrictions, suspected prohibited use, or a breach of these Terms.

If we decline or cancel an order after receiving identifiable cleared funds, we will refund the relevant payment.

7. Prices, payment and promotions

Prices are shown in pounds sterling and include any applicable taxes unless stated otherwise. Delivery charges are displayed separately before an order is submitted.

You are responsible for providing accurate order, billing and delivery information. We are not responsible for delay caused by inaccurate information supplied by you, although this does not affect our responsibilities under applicable law.

Discount codes, multibuy prices and other promotions:

are subject to any specific conditions displayed with the offer;
must be applied before the order is submitted;
have no cash value;
cannot be applied retrospectively;
cannot be combined unless expressly stated; and
may be withdrawn or corrected before an order is accepted where there is an error, abuse or suspected fraud.

Where a promotion has been correctly applied to an accepted order, we will honour it in accordance with its stated conditions.

8. Delivery

We deliver only to locations offered through the Website or otherwise agreed by us in writing. Delivery options, charges and estimated times are shown during checkout or in the order information.

We aim to pack and dispatch paid orders within the timeframe stated on the Website. Dispatch and delivery times are estimates unless we expressly agree a guaranteed date. Nothing in this section removes any statutory delivery rights, including the requirement to deliver within 30 days unless a different period has been agreed.

You are responsible for providing a complete and accurate delivery address and for ensuring that someone is able to receive the parcel where necessary. If a parcel is returned because the address supplied was incorrect or incomplete, or delivery was not accepted or collected, we may require payment of reasonable redelivery costs. Your statutory rights are unaffected.

Responsibility for the goods passes to a consumer when the goods are delivered into the physical possession of the consumer or a person identified by the consumer to receive them. Ownership of the goods passes only once we have received payment in full.

9. Inspection, storage and handling

You should inspect the outer parcel and products promptly after delivery. Any damaged, faulty, incorrect or missing item should be reported in accordance with our Returns and Refund Policy.

After delivery, you are responsible for ensuring that products are securely stored, handled and used by appropriately knowledgeable persons in accordance with:

the product label;
any storage or handling instructions supplied;
appropriate laboratory practice; and
all applicable laws, regulations and safety procedures.

Do not use a product if its identity is uncertain or if its vial, cap, label, seal or packaging appears damaged, opened or compromised. Contact us for guidance and retain the product and packaging while the issue is assessed.

10. Cancellations, returns and refunds

Cancellations, returns, damaged goods and refunds are governed by our Returns and Refund Policy, which forms part of these Terms.

Due to the nature of our products, we do not offer voluntary returns or exchanges merely because a customer changes their mind. However, this does not remove any statutory cancellation right that applies to an eligible online purchase or any legal remedy for goods that are faulty, damaged, incorrect or not as described.

Where a sealed product is not suitable for return for health-protection or hygiene reasons, the statutory cancellation right may end once its product seal or tamper-evident packaging has been opened or compromised. Please consult the Returns and Refund Policy and contact us before returning anything.

11. Website information, tools and calculators

Website articles, guides, glossaries, calculators and other educational materials are general information only. Although we take reasonable care when preparing them, scientific knowledge, methods and regulations can change, and we do not promise that all content will always be complete, current or suitable for a particular research project.

Calculator results depend on the information entered by the user. You are responsible for checking inputs, units and outputs independently before relying on a result in a laboratory setting. Website tools must not be used to support human or animal administration or any prohibited use described in these Terms.

Nothing on the Website constitutes medical advice, a recommendation for human or animal use, or a guarantee of any research outcome.

12. Acceptable use of the Website

You must not:

use the Website or its content for any unlawful, fraudulent or harmful purpose;
attempt to gain unauthorised access to the Website, another user's information or any connected system;
introduce viruses, malicious code or other harmful material;
scrape, copy or extract Website content by automated means without our written permission, except where permitted by law;
interfere with the operation, security or availability of the Website;
impersonate another person or provide false information;
use the Website to promote human or animal use of research-only products; or
infringe our intellectual property rights or the rights of another person.

We may suspend or restrict access where reasonably necessary to protect the Website, our customers, our rights or legal compliance.

13. Intellectual property

Unless stated otherwise, the Website and its content—including the Helix Bio name and branding, text, graphics, photographs, product images, page designs, guides and original calculator presentation—are owned by or licensed to Helix Bio and are protected by intellectual property law.

You may view and print Website content for personal or internal, non-commercial reference. You must not reproduce, republish, sell, license, modify, distribute or commercially exploit our content without prior written permission, except where permitted by law.

14. Reviews, messages and other submissions

If you submit a review, comment, image, suggestion or other content to us, you confirm that it is accurate, lawful, does not infringe another person's rights and does not promote a prohibited use of our products.

You retain ownership of your content. You grant Helix Bio a non-exclusive, worldwide, royalty-free licence to use, reproduce and display content you intentionally submit for publication in connection with operating and promoting the business. We will handle personal information in accordance with our Privacy Policy.

We may remove or decline to publish content that is unlawful, misleading, abusive, infringes another person's rights, promotes prohibited product use or otherwise breaches these Terms.

15. Third-party services and links

The Website may use or link to services operated by third parties, including Shopify, delivery carriers and external websites. Third parties may have their own terms and privacy policies.

We are not responsible for the independent content or practices of a third-party website merely because we provide a link to it. This does not exclude responsibility that Helix Bio has under applicable law for services we use to fulfil your order.

16. Our responsibility to consumers

We do not exclude or limit liability where doing so would be unlawful. This includes liability for:

death or personal injury caused by our negligence;
fraud or fraudulent misrepresentation;
breach of your statutory rights relating to goods; or
any other liability that cannot legally be excluded or limited.

If you are a consumer, we are responsible for loss or damage that is a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill. We are not responsible for loss or damage that was not foreseeable, for business losses arising from a consumer purchase, or for loss caused by unlawful or prohibited use of a product.

Nothing in these Terms makes lawful or permitted any human or animal use of a research-only product.

17. Our responsibility to business customers

This section applies only where you purchase wholly or mainly for purposes relating to your trade, business, craft or profession.

Subject to the liabilities that cannot lawfully be excluded, Helix Bio will not be liable to a business customer for indirect or consequential loss, loss of profit, revenue, business, anticipated savings, data, goodwill or opportunity.

Subject to the liabilities that cannot lawfully be excluded, our total liability to a business customer arising from a particular order will not exceed the total amount paid to us for that order.

A business customer is responsible for determining whether a product is suitable and lawful for its intended research and for maintaining appropriate risk assessments, facilities, trained personnel, records, licences and procedures.

18. Privacy

We process personal information in accordance with our Privacy Policy. Please read that policy to understand what information we collect, why we use it and the rights available to you.

19. Changes to the Website and these Terms

We may update the Website and these Terms to reflect changes to our products, services, business practices, technology or legal obligations. The date at the top of this page shows when these Terms were last updated.

The Terms in force when you submit an order will normally apply to that order. Any change intended to apply to an existing order will apply only where permitted by law and, where required, communicated to you.

20. Events outside our reasonable control

We are not responsible for delay or failure caused by an event outside our reasonable control. If such an event materially affects an accepted order, we will contact you as soon as reasonably possible and take reasonable steps to minimise the delay. Your statutory rights, including any right to cancel because of substantial delay, remain unaffected.

21. Severability, waiver and transfer

If any provision of these Terms is found to be unlawful or unenforceable, the remaining provisions will continue in effect.

If we do not immediately enforce a provision, that does not mean we have waived our right to enforce it later.

We may transfer our rights and obligations under these Terms to another organisation, provided this does not reduce a consumer's rights. You may transfer your rights only where the law permits or we agree in writing.

22. Governing law and disputes

These Terms and any dispute or claim relating to them are governed by the law of England and Wales.

If you are a consumer resident in another part of the United Kingdom, you retain any mandatory protections available under the law of the part of the United Kingdom where you live and may bring proceedings in the courts available to you under applicable law.
